Upa Alarm Terms of Service
Version 1.0 2026-10-09 · Effective date: October 9, 2026
These Terms of Service (the "Terms") are a binding agreement between you and Ganavo LLC, a Massachusetts limited liability company ("Ganavo", "we", "us"), about the Upa Alarm app and the online services behind it (together, the "App"). By tapping "Get started" or otherwise using the App, you agree to these Terms. Our Privacy Policy explains what data the App uses and why.
Please read Section 19. It requires most disputes to be resolved by individual arbitration, waives class actions and jury trials, and explains how to opt out within 30 days.
1. What Upa Alarm is
Upa Alarm is an alarm clock app for iPhone. When an alarm rings, it keeps coming back until you finish a mission you chose: a movement mission (push-ups, squats or dancing counted by the camera, or a walk counted in steps by the phone's motion sensor, all on your phone), a photo checked by AI (make your bed, get dressed, or find an object), math problems, or Bible verses read aloud. Optional Friends features let you see your friends' streaks, share wake-up clips with groups and let friends set alarms for you (Sections 3, 7A, 11 and 12A). Upa Alarm is a tool to help you get out of bed. It is not a medical, health, fitness or safety product.
2. Who can use Upa Alarm
- You must be 18 or older and able to form a binding contract. By using the App, you confirm that you are.
- You may not use the App where that would break the law that applies to you, or if the "Legal compliance" point in Section 22 (U.S. embargoes and restricted-party lists) applies to you.
3. Optional account; your anonymous ID
- No account needed for alarms. Alarms, missions and your subscription work without an account. To run the AI photo check and the Bible reading check, and to keep a record of your consent and basic usage counts, the App creates an anonymous ID on our servers.
- Optional account for Friends. The Friends features (your profile, friend codes, friend requests, your friends' streaks, groups and wake-up control) need an account, which you create with Sign in with Apple from the Friends tab or Settings → Account. Your anonymous ID then becomes your account. Upa Alarm has no passwords of its own: keep your Apple Account secure, because anyone who can sign in with it can use your Upa Alarm account. To create a profile you must be 18 or older, and you must follow the Community rules (Section 12A).
- Deleting your account. You can delete your account at any time with Delete my account and data (Settings → Legal & support). If you stop using Sign in with Apple for Upa Alarm in your Apple Account settings, we delete your account too. Details are in the Privacy Policy (Section 9).
- What lives where. Your alarms, history, videos, imported sounds and settings live on your phone. If you're signed in, your profile, your friends, your groups and which days you won or missed are also kept with your account (clips you share last 7 days), and the App brings your won / missed days back when you sign in on a new install. Everything else that was on your phone is gone if you delete the App, lose your phone, or use Delete my data, and we can't restore it. Your subscription belongs to your Apple Account: use Restore purchases to get it back on a new install.
4. Your license to use the App
We give you a personal, non-exclusive, non-transferable, revocable license to use the App for your own non-commercial use on Apple devices you own or control, as Apple's Usage Rules allow. We and our licensors keep every other right in the App, including its sounds, voices, music, design and text. You may not copy, modify, sell, rent, sublicense or redistribute the App or its sounds, or decompile or reverse engineer it, except where the law allows that despite this sentence.
5. Subscriptions and billing
- What needs a subscription. Upa Alarm's alarms and missions work only with an active Upa Alarm subscription. Current plans: monthly and yearly. Prices are shown in the App and on Apple's purchase sheet before you buy, and they can differ by country.
- Free trial. The yearly plan may include a 3-day free trial for new subscribers who are eligible. Apple decides eligibility (for example, you may not get a trial if your Apple Account already used one for Upa Alarm), and the App shows a trial only when Apple says you qualify. The monthly plan has no free trial. A trial turns into a paid yearly subscription unless you cancel at least 24 hours before it ends. If you cancel during a trial, Apple decides whether you keep access until the trial ends.
- Billing and auto-renewal. Subscriptions are in-app purchases billed by Apple to your Apple Account. They renew automatically for the same period at the then-current price unless you turn off auto-renew at least 24 hours before the current period ends; Apple may charge the renewal within those 24 hours.
- Cancel or manage in your iPhone's Settings (your name → Subscriptions) or in your App Store account. Deleting the App, your data or your account does not cancel a subscription.
- Refunds for App Store purchases are handled only by Apple under its policies (reportaproblem.apple.com). We can't issue them.
- When a subscription ends. Once the App sees that your subscription has ended (it checks when you open it), it stops scheduling alarms and removes the alarms it scheduled with iOS, except that an alarm that is already ringing, or a mission already pending, can still be finished. Until you open the App, alarms already scheduled may still ring.
- Price and plan changes. We may change prices, trials or plans going forward. Apple tells subscribers about price changes and, where its rules require, asks for your consent before a higher price applies.
- If these Terms and Apple's purchase screen differ about a specific purchase, Apple's purchase screen controls for that purchase.
6. Physical missions: exercise at your own risk
- Not medical advice. Nothing in the App is medical, health or fitness advice, and we make no claim that any mission improves your health, sleep, alertness or productivity.
- Check with a doctor first if you have a heart, lung, joint, back or other medical condition, are pregnant, are recovering from an injury, or aren't sure exercise is safe for you.
- You choose the mission and the count. Pick what is safe for you. Right after waking you may feel unsteady: get up slowly, clear the space around you, use a stable, non-slippery floor, and stay away from stairs, sharp edges and anything you could fall on.
- Stop right away if you feel pain, dizziness, chest pain or shortness of breath, and get medical help if you need it.
- There is always a non-physical way out. Every camera, walking and photo mission offers "Can't do this one?", which switches to a few easy math problems, and after 10 minutes of ringing an emergency stop appears (the morning is then counted as missed).
- Never do a mission while driving, and never go somewhere unsafe (outside in the dark, near traffic, onto a ledge) to finish a photo mission.
- To the extent the law allows, you take responsibility for the risks of doing physical missions.
7. Alarms: no guarantee
- Upa Alarm rings through Apple's alarm system (AlarmKit) and, while the App is open, its own sound. We work hard to make alarms reliable, but we can't guarantee that any alarm or backup ring sounds, sounds on time, or sounds at the volume you expect.
- Things outside our control can stop or change an alarm, including: your iPhone's settings and permissions (for example, turning off Upa Alarm's alarm access), hiding or locking the App, a dead battery or a phone that's off or damaged, iOS updates or bugs, time-zone or daylight-saving changes, other alarm apps or the Clock app, Bluetooth or AirPlay audio routing, deleting or reinstalling the App, and your subscription ending.
- Backup rings. If you stop or swipe away a ring without finishing the mission, or leave or close the App before you finish it, Upa Alarm tries to ring again a few seconds later, until you finish the mission or until about 2 hours after the alarm time. Extra backup rings are scheduled about 2, 5, 10, 20, 40 and 80 minutes and 2 hours after the alarm time, in case iOS doesn't run the quick re-ring. iOS can deliver alarms late, so all of these times are approximate. Backup rings are part of the same best-effort system.
- Don't rely on Upa Alarm as your only alarm for anything important, such as a flight, a work shift, medication, caring for someone, or your safety. Keep a backup.
7A. Alarms friends set for you (wake-up control)
- Only with your permission. A friend can add alarms for you only after you let them (on their profile, or by allowing their request). You decide for each friend, and you can turn it off at any time (on their profile, or in Settings → Account → Wake-up control). Removing or blocking a friend also ends it. Pause friend alarms stops new ones.
- What a friend can do. Add one-time alarms for you, 30 minutes to 24 hours ahead, ringing between 5:00 and 11:59 your time, with a mission your Friend limits allow (you choose the missions and the highest counts, one list for all friends) and one of our sounds or a voice message. You can have at most 2 upcoming friend alarms. A friend can't see, change or delete your own alarms.
- You stay in control. You can delete any alarm a friend set, at any time, even before it reaches your phone. It rings like any other Upa Alarm alarm, with the quick re-ring, a few backup rings (about 2, 10 and 40 minutes after the alarm time, fewer than your own alarms get), the emergency stop after 10 minutes and "Can't do this one?" → math (Sections 6 and 7). The friend's voice plays inside the App; the Lock Screen plays one of our built-in loud sounds.
- What the friend sees. Whether the alarm reached your phone, why it couldn't be set (for example, alarms are off, your subscription ended or you changed time zone), and whether you won or missed it, with the mission, the count and how long it took.
- No guarantee of delivery. Your phone has to receive the alarm before it rings: if Upa Alarm doesn't get it in time, it won't ring, and the friend is told it didn't arrive. Everything in Section 7 applies to friend alarms too. Don't rely on a friend's alarm for anything important.
- If you set alarms for a friend: set only alarms they'd welcome. Don't use wake-up control to scare, harass, threaten or humiliate anyone, and don't send sexual, hateful or violent messages. A voice message or audio file you send must be yours or one you have the right to use. An AI checks voice messages before delivery, and it can be wrong. Breaking these rules can end your wake-up control and get your account banned (Section 12A).
8. AI photo checks
- In a photo mission, your phone shrinks the photo and re-saves it without its metadata (such as location), then sends it through our server to our AI provider, Anthropic, for a one-time check. We don't store the photo. What Anthropic says it does with it is in the Privacy Policy.
- The AI can be wrong, in either direction. You can pick a difficulty for each alarm. After 3 failed tries, or if the check is unavailable or you're offline, the App offers math instead.
- To keep the service fair and working, we limit how many checks you can run per minute and per day. We may change these limits at any time.
- Only send photos you have the right to take and share. Keep other people out of the frame (the "get dressed" mission is a photo of yourself). Don't send nudity, other people's private information, or anything illegal. Photos of screens or pictures don't pass.
9. Bible reading checks
- When you read a verse aloud, your iPhone recognizes your speech with Apple's speech recognition, on the phone when your iPhone supports that for your language. Otherwise Apple may process the audio on its servers.
- If the phone isn't sure it heard the verse, the recording of that attempt (usually a few seconds, never more than about 40 seconds) goes through our server to our speech provider, ElevenLabs, for a second opinion. We don't store the recording or the text. ElevenLabs may keep it under its own policies (see the Privacy Policy).
- The check can be wrong. After 3 failed tries you can skip a verse (once per mission) or switch to math.
- The verses come from public-domain translations published by eBible.org: the World English Bible, the Reina-Valera 1909 and the Bíblia Portuguesa Mundial. Upa Alarm isn't affiliated with any church or Bible publisher. The Bible mission is optional, and we don't ask about your beliefs.
10. Sounds you import
Sounds you import stay on your phone; we don't upload them. Only import files you have the right to use, and nothing illegal. The same goes for an audio file you send as a voice message for a friend's alarm (Section 7A), which we do upload. You are responsible for what you import. On the Lock Screen, an alarm with an imported sound uses a built-in loud sound instead; your file plays once the App is open.
11. Mission videos and sharing
- During live camera and photo missions the App records a silent video (no sound track) on your phone, up to 4 minutes; you can turn this off in Settings ("Record my missions"). The App deletes its copy when you leave the "Watch it back" screen. A copy you saved to Photos or shared to another app stays there. If you turn on "Auto-save mission videos" (off by default), videos are saved to your Photos. We upload a video only when you share it to your groups (below).
- Sharing to groups. After a mission you won, you can share its last 20 seconds (no sound) with groups you pick. Before anyone sees it, an AI from our provider Anthropic checks 3 still frames of it. The AI can be wrong: it may refuse a clip that is fine or, rarely, miss one that isn't. Members of those groups can watch the clip and react to it for 7 days; you can delete it from a group at any time, and leaving a group deletes your clips there. We can't stop someone from recording their screen.
- Permission to show your clip. You keep your rights in your clips. You give Ganavo a limited, non-exclusive, royalty-free permission to store your clip, have it checked, and show it (with its reactions) to the members of the groups you picked, only to run the App and until the clip is deleted. We may remove any clip (Section 12A).
- What you share is your responsibility. Share only clips of yourself doing your mission. Get permission from anyone else who appears in a video before you share it, and follow the law and the rules of the app or group you share to. Copies shared outside Upa Alarm are outside our control.
12. Acceptable use
You agree not to: break the law or anyone's rights through the App; send the AI checks anything other than a real photo or reading for your own mission, or try to make the AI do something else; get around rate limits, the paywall or other protections; attack, overload, scrape or probe our servers or use bots; extract keys or code; resell or commercially exploit the App; or use the App to record, harass or harm anyone.
12A. Community rules
These rules apply to the Friends features and to everything you show or send other people through the App: your display name, group names, the clips you share, your reactions, the alarms you set for friends and your voice messages.
- Adults only. You must be 18 or older to create a profile, and you confirm it when you create one. Don't use the Friends features with anyone you believe is under 18.
- Don't: harass, bully, threaten or intimidate anyone; share nudity or sexual content; attack people for their race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability or similar traits (hate); threaten or encourage violence; impersonate a person or organization (including Ganavo, Upa Alarm or another user) or mislead people about who you are; spam or scam people; or pick a name or share a clip that does any of these. Passing our name filter or the AI check doesn't make something allowed.
- Your friend code. Share it only with people you want as friends: anyone who has it can see your name and rooster and send you a request. We don't verify who other users are.
- Groups. The person who creates a group is its admin and can rename it, change its invite code, remove members and delete it. Share invite codes only with people you want in the group.
- Report, hide and block. Report or block someone from their profile, from their friend request in your inbox, or from a group's member list; press and hold a clip to report or hide it; report a group from its settings; and report an alarm a friend set for you from its sheet (you can always delete it, too). Reporting someone also declines their pending friend request. A block is silent: the other person isn't told, the friendship and pending requests between you end, you can't find or add each other, and you stop seeing each other's clips and reactions (in a group you're both in, you still see each other's name in the member list). You can unblock people in Settings → Account → Blocked people. Something urgent? Write to [SUPPORT_EMAIL]. We review every report within 24 hours. If someone is in danger, contact your local emergency services first.
- What we do. A clip reported by 2 people, or by its group's admin, is hidden at once while we review it. We may change or remove a name, a clip, a group, a voice message or other content, end someone's wake-up control, and suspend or permanently ban an account that breaks these rules, these Terms or the law, without notice where safety requires (Section 14). A banned account can't use the Friends features, and its profile and clips disappear from other people's apps; its alarms keep working. Zero tolerance for the sexual exploitation of minors: we remove it, ban the account and report it to the National Center for Missing & Exploited Children (NCMEC), as U.S. law requires. We may keep and share information with the authorities when the law requires it or to protect someone's safety.
- Other users are responsible for what they do. To the extent the law allows, we aren't responsible for other users' conduct, but we act on reports as described above.
13. Ownership and feedback
- The App, including its sounds, voices, music and design, belongs to Ganavo or its licensors. Some sounds and voices were made with AI tools under licenses that allow this use. The Bible texts are public domain.
- Your photos, recordings, videos and imported sounds stay yours. You let us and our providers process a photo or a recording only to run the check you asked for.
- Your voice messages. They stay yours. You give Ganavo permission to store a voice message, have it checked and deliver it to the friend you sent it to, only to run the App and until it's deleted (at most about 3 days; Privacy Policy, Section 3A).
- Your profile. Your display name stays yours. Until you delete your account, you let us store it and show it, with your rooster, colors and stats, to the people the App shows them to (Privacy Policy, Section 3A), only to run the App.
- If you send us ideas or feedback, we may use them without any obligation to you.
14. Suspension, termination and changes to the App
- We may suspend or limit your access (for example, to the AI checks or the Friends features) if you materially or repeatedly break these Terms (including the Community rules in Section 12A), abuse our services, create a legal or security risk for Ganavo, our users or our providers, or if Apple or the law requires it. Where it's lawful and reasonable we tell you first and give you a chance to fix it; we may act at once for fraud, security, safety or legal reasons.
- You can stop at any time: cancel your subscription with Apple, use Delete my data (Delete my account and data when you're signed in), and delete the App.
- We may change, add or remove features. If we stop offering the App entirely, we will give at least 30 days' notice in the App where we can. Refunds for App Store purchases are up to Apple.
15. Other companies' services
The App depends on services from other companies, including Apple (App Store, billing, AlarmKit, speech recognition, Sign in with Apple, notification delivery), Anthropic (AI photo, clip and voice message checks), ElevenLabs (speech-to-text second opinion and voice message transcription), RevenueCat (subscription status), Expo (push notifications) and Supabase (our servers). Their own terms and policies govern their services. If one of them is unavailable, the affected feature may not work; the App falls back to math where it can.
16. Disclaimers
TO THE EXTENT THE LAW ALLOWS, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't warrant that alarms will ring, that rep counting, AI photo checks, clip checks, voice message checks or speech checks are accurate, that an alarm a friend sets reaches your phone, or that the App will be uninterrupted or error-free. Some places don't allow these exclusions, so parts of this section may not apply to you.
17. Limitation of liability
- To the extent the law allows, and whatever the legal theory, the Ganavo Parties (Section 23) are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, data or goodwill, including from a missed or late alarm.
- To the extent the law allows, the Ganavo Parties' total liability for all claims relating to the App is limited to the greater of $100 or the amount you paid for Upa Alarm in the 12 months before the claim arose.
- These limits don't apply to Ganavo's fraud, gross negligence or willful misconduct, or to any liability the law doesn't allow to be limited.
- Time to bring a claim. To the extent the law allows, a claim relating to the App must be brought within one year after the person bringing it knew, or reasonably should have known, of the facts behind it. This applies equally to you and to Ganavo, pauses during the Notice process in Section 19, and doesn't shorten any period the law won't let be shortened (including under consumer-protection laws).
- Your non-waivable rights stay. Nothing in these Terms limits a right or remedy that the law where you live doesn't allow to be limited.
18. Indemnity
To the extent the law allows, you will defend, indemnify and hold harmless the Ganavo Parties from third-party claims, losses and costs (including reasonable lawyers' fees) arising from: your display name, group names, clips, voice messages, alarms you set for friends, videos or other content you share; sounds you import; photos you send that you had no right to send; your misuse of the App; or your breach of these Terms or the law. You don't have to indemnify a Ganavo Party for the part of a claim caused by that party's own breach of these Terms, negligence or willful misconduct. We may take over the defense at our cost, and you won't settle a claim that puts an obligation on a Ganavo Party without our written consent.
19. Disputes: arbitration and class-action waiver
- Governing law. These Terms are governed by the laws of the State of [STATE], and this Section by the Federal Arbitration Act, without regard to conflict-of-laws rules.
- Notice of Dispute and settlement call. Before either of us starts an arbitration or small-claims case, the party with the claim sends a written Notice of Dispute: yours to [SUPPORT_EMAIL] and to the address in Section 21; ours to the contact details you give us. It states your name and contact details, the claim and its facts, and the relief you want, and is signed personally by you (and your lawyer, if any). A Notice covers only the person who signs it. If either of us asks within 30 days after a complete Notice arrives, we hold an individual settlement call by phone or video that you attend personally (your lawyer may join). Neither of us may file until 60 days after a complete Notice arrives or until the call happens, whichever is later. All limitation periods are paused from the day a complete Notice is sent until then. A case filed without following this paragraph will be dismissed or paused until it is met.
- Binding individual arbitration. Any dispute arising out of or relating to these Terms or the App that isn't resolved this way will be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration is in English, on written submissions or by videoconference where the rules allow; any in-person hearing is in the county where you live. The arbitrator can award you, individually, the same relief a court could.
- Fees. The AAA's fees are split as its consumer rules and fee schedule provide: if you start the arbitration, your filing fee is capped by those rules (currently $225), and Ganavo pays the rest of the AAA's fees and the arbitrator's compensation. If the provider applies non-consumer rules or fees to your individual claim, Ganavo pays the fees beyond what you would pay to file the same claim in court, unless the arbitrator finds the claim frivolous or brought for an improper purpose. Each side pays its own lawyers unless the law or the award says otherwise.
- Coordinated claims. If 25 or more Notices or demands raising similar claims are sent or filed by or with the help of the same or coordinated lawyers or organizations: (a) the AAA's mass-arbitration rules apply together with this paragraph; (b) each side picks up to 10 claims to go first, and the rest are not filed, and owe no fees, until those are decided; (c) we then mediate the remaining claims in good faith for up to 60 days, with Ganavo paying the mediator; (d) remaining claims may then be filed in batches of up to 100, with one set of administrative fees per batch where the AAA agrees, and each claimant still gets an individual decision; (e) earlier decisions don't bind other claimants; (f) each claim's limitation periods are paused from its Notice until it may be filed; (g) a claim not allowed to be filed within 240 days of its Notice may then be filed in arbitration or small-claims court without further waiting; and (h) a court decides whether this paragraph applies and enforces it.
- Exceptions. Either of us may instead bring an individual claim in small-claims court, or ask a court for an injunction against infringement or misuse of intellectual property or unauthorized access to or abuse of the App.
- Who decides. The arbitrator decides disputes about the scope, validity or enforceability of this arbitration agreement, except that a court decides (a) whether the class-action waiver, the Coordinated-claims paragraph or the Notice requirement is valid or was followed, and (b) whether a claim fits the small-claims or intellectual-property exceptions. If a claim asks for public injunctive relief that the law where you live won't let you waive, a court decides that request after the arbitration ends.
- Class-action waiver. Disputes are resolved only on an individual basis. Neither of us may bring or take part in a class, consolidated or representative action, or class-wide arbitration. If this waiver is found unenforceable for a particular claim, that claim (and only that claim) goes to court instead of arbitration.
- Courts and jury waiver. Anything not arbitrated goes exclusively to the state or federal courts located in [STATE], and both of us consent to their jurisdiction. To the extent the law allows, both of us waive a jury trial.
- 30-day opt-out. You can opt out of this arbitration agreement by sending a notice to [SUPPORT_EMAIL] within 30 days after you first accept these Terms. Include your name, the email address you want us to use, your Support ID (Settings → Legal & support), and a clear statement that you opt out of arbitration. Opting out doesn't affect the rest of these Terms.
- Changes to this Section. If we change this Section in the future (other than our contact details), you may reject the change by writing to [SUPPORT_EMAIL] within 30 days after it takes effect; the version you last agreed to then keeps applying to disputes between us.
20. Changes to these Terms
We may update these Terms and will post each version with its date. For a change that materially affects your rights or obligations, we tell you in the App at least 30 days before it takes effect and ask you to agree before you keep using the App. Other changes take effect 15 days after posting. Changes apply only going forward: a change never applies to a dispute that either of us knew about, or that was the subject of a Notice of Dispute, before the change took effect; the earlier version governs that dispute. If you don't agree to a change, stop using the App, cancel your subscription and use Delete my data (Delete my account and data when you're signed in).
21. Notices and electronic communications
We send notices to you in the App. Send legal notices to us, including a Notice of Dispute or an arbitration opt-out, to [SUPPORT_EMAIL] and to Ganavo LLC, [MAILING ADDRESS]. You agree that we may give you agreements, notices and disclosures electronically, and that they satisfy any requirement that they be in writing. California users: you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at [VERIFY ON DCA.CA.GOV: 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834] or by phone at [VERIFY: (800) 952-5210].
22. Apple App Store terms
If you got the App from Apple's App Store:
- Acknowledgement. These Terms are between you and Ganavo only, not Apple. Ganavo, not Apple, is solely responsible for the App and its content.
- Scope of license. Your license is limited to using the App on Apple-branded products you own or control, as Apple's Usage Rules in the Apple Media Services Terms and Conditions allow (the App may be used by other accounts in your Family Sharing group or by volume purchase, where Apple allows that).
- Support. Ganavo, not Apple, is solely responsible for maintenance and support. Apple has no duty to provide any.
- Warranty. If the App fails to meet an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent the law allows, Apple has no other warranty obligation; any other claim or loss from a failure to conform to a warranty is Ganavo's responsibility, subject to these Terms.
- Product claims. Ganavo, not Apple, is responsible for any claims by you or a third party relating to the App or your use of it, including product-liability claims, claims that the App fails to meet legal or regulatory requirements, and claims under consumer-protection, privacy or similar laws.
- Intellectual property. If a third party claims the App or your use of it infringes their intellectual property, Ganavo, not Apple, is responsible for the investigation, defense, settlement and discharge of that claim.
- Legal compliance. You confirm that you are not in a country subject to a U.S. Government embargo or designated by it as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- Developer contact. Ganavo LLC, [MAILING ADDRESS], [SUPPORT_EMAIL].
- Third-party terms. You must follow any third-party terms that apply when you use the App (for example, your wireless data plan).
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
23. General
- Ganavo Parties means Ganavo LLC and its members, managers, employees, contractors, agents, licensors and service providers. Sections 16 through 18 protect each Ganavo Party, and each may enforce them. Your agreement is with Ganavo LLC only; to the extent the law allows, you will bring any claim relating to the App against Ganavo LLC and not against its members or managers personally.
- Events beyond our control. We aren't responsible for delays or failures caused by events beyond our reasonable control, including outages at Apple or at our AI, hosting or subscription providers, internet or power failures, cyberattacks we couldn't reasonably prevent, disasters, government action, war or epidemics.
- Entire agreement. These Terms, the Privacy Policy and Apple's terms for your purchase are the entire agreement between you and Ganavo about the App.
- Severability; no waiver. If any part of these Terms can't be enforced, the rest stays in effect and that part is enforced as far as the law allows. If we don't enforce a provision right away, we can still enforce it later.
- Assignment. You may not transfer these Terms. We may transfer them as part of a merger, acquisition or sale of our business or assets.
- No other beneficiaries except the Ganavo Parties and Apple.
- Survival. Sections 6 through 13 (as far as they describe your responsibilities and our limits) and Sections 16 through 23 keep applying after you stop using the App.
- Language. These Terms are written in English. Summaries and translations are provided for convenience only; the English version controls.
